Intellectual Property Management Plan
To effectively manage and safeguard intellectual property, and to align the acquisition and utilization of intellectual property with the Company’s business objectives and R&D resources, the “Intellectual Property Management Plan” has been established. This plan aims to enhance corporate value and competitiveness through the use of intellectual property rights, ensure protection against the risks of infringement or being infringed upon, and further strengthen corporate governance.
Patent Management
1.The Company has established the “Proposal Incentive System Management Guidelines” to encourage R&D engineers to actively engage in research and innovation, thereby enhancing the Company’s core competitiveness.
2.The R&D department is responsible for technological development, and the Company also engages external patent firms from time to time to handle patent portfolio planning and applications.
Trade Secret Management
1.Upon onboarding, employees are required to sign an Employment Contract, which clearly stipulates the ownership of intellectual property (including but not limited to copyrights, patents, trademarks, and trade secrets), confidentiality obligations, and non-compete clauses.
2.The Company enters into Non-Disclosure Agreements (NDAs) with customers and subcontractors, which define the ownership of intellectual property (including but not limited to copyrights, patents, trademarks, and trade secrets), confidentiality requirements, and specify provisions regarding damages and compensation.
3.Upon resignation, employees must sign a Separation Declaration. The handover documents explicitly state that departing employees remain bound by confidentiality obligations with respect to intellectual property (including but not limited to technologies, programs, and trade secrets) obtained during their tenure. Any breach resulting in damages to the Company shall render the departing employee liable for compensation.
Copyright Management
The Company has established strict regulations in the employee handbook regarding the use and management of computer software to prevent any infringement of intellectual property rights arising from improper use. In addition, dedicated personnel are assigned to manage relevant program source codes.
