Structure and Responsibilities of the Sustainability Committee

 
Sustainabilit  Department Duties and Responsibilities
Board of Directors Serving as the highest governing unit for sustainability, the Committee is responsible for reviewing, supervising, and making decisions on key sustainability-related issues.
Sustainability Committee As a functional committee, it consists of three members, namely the Chairperson, the President, and the Vice President. The Committee is responsible for formulating and reviewing sustainability-related policies, goals, and annual plans, and supervising the progress and performance of sustainability initiatives. The Committee holds at least one meeting annually and reports its implementation status to the Board of Directors.
ESG Office Support the Committee in promoting sustainability initiatives and related affairs, coordinate, consolidate, and monitor the operational status of each functional working group, and execute projects authorized by the Committee.
Sustainability Functional Team The responsible departments promote annual sustainability objectives and related initiatives according to their respective functions. They review the implementation progress and performance of work plans under each thematic group in areas such as environmental protection, sustainable procurement, and corporate governance, and assess the effectiveness of communication and responses to stakeholders.

On May 6, 2025, the Board of Directors approved the establishment of the Sustainability Committee. The Committee consists of three senior executives serving as sustainability committee members, and the Sustainability Committee Charter was formally adopted.

1.Responsibilities of the Sustainability Committee:
   • Formulate sustainability development goals and strategies:Establish goals, policies, action plans, and         
      management indicators for sustainability strategies and material sustainability topics, including sustainability 
      governance, ethical business conduct, environmental issues, and social issues.

   • Review of sustainability implementation performance:Track, evaluate, and revise the Company’s sustainability          implementation status and performance, and report to the Board of Directors on a regular basis.
   • Other sustainability-related matters or matters assigned by resolution of the Board of Directors.

2.The functional teams under the Sustainability Development framework implement various action plans based on  their respective responsibilities and report the execution status of sustainability initiatives to the Committee:
   • Corporate Governance Team:
      
(1)Formulate the Company’s sustainability strategies and objectives, including those related to ethical business
           practices, and strengthen the Company’s overall governance framework.
      (2)Formulate the Company’s sustainability strategies and objectives, including strategic goals related to       
           research and innovation.
      (3)Formulate the Company’s information security and process-management regulations, and ensure the
           effective implementation and continuous improvement of information security and system control practices.
   • Sustainable Procurement Team:
      
(1)Provide policies and action plans related to the Company’s supply chain.
      (2)Promote and support suppliers in advancing their sustainability practices.
   • Social Responsibility and Public Welfare Team:
      
(1)Identify material sustainability issues pertaining to stakeholders and evaluate the effectiveness of the   
           Company’s communication and response mechanisms.
      (2)Carry out employee care initiatives and community service–related activities.
   • Environmental Protection Team

      
(1)Develop and formulate environmental policies and action plans for the Company.
      (2)Ensure the implementation and promotion of the Company’s environmental sustainability initiatives, hold
           regular meetings, and report the progress and execution status to the Committee.
